Steps to Establish Foreign Companies in the Kingdom of Saudi Arabia
For licenses for foreign investors
Service licenses, including (contracting, senior management consulting, information technology, tourism, training, health, insurance and reinsurance, education, advertising, sea freight services and air freight of goods, organizing exhibitions, catering services, financial services, aviation and handling services)
Requirements:
1- A copy of the commercial register of the foreign company, attested by the Saudi embassy
2- A copy of the memorandum of association of the foreign company, attested by the Saudi embassy
3- A copy of the latest financial statements of the foreign company, certified by the Saudi Embassy
4- The holder of a privileged residence permit shall be exempted from the above requirements
Industrial licenses (heavy and light industries, and manufacturing industries)
Requirements:
1- A copy of the commercial register of the foreign company, attested by the Saudi embassy
2- A copy of the memorandum of association of the foreign company, attested by the Saudi embassy
3- A copy of the latest financial statements of the foreign company, certified by the Saudi Embassy
4- The holder of a privileged residence permit shall be exempted from the above requirements
Requirements:
1- A copy of the commercial register of the foreign company, attested by the Saudi embassy
2- A copy of the memorandum of association of the foreign company, attested by the Saudi embassy
3- A copy of the latest financial statements of the foreign company, certified by the Saudi embassy
4- The holder of a privileged residence permit shall be exempted from the above requirements
note: The cost of any project shall not be less than (30,000,000) thirty million riyals, land and building, and that it be outside the scope of Makkah Al-Mukarramah and Al-Madinah Al-Munawwarah
There are two types of commercial licenses, a commercial license with a Saudi partner, and a 100% foreign commercial license.
- Requirements for a commercial license with a Saudi partner:
1- A copy of the commercial register of the foreign company, attested by the Saudi embassy
2- A copy of the memorandum of association of the foreign company, attested by the Saudi embassy
3- A copy of the latest financial statements of the foreign company, certified by the Saudi embassy
4- The holder of a privileged residence permit shall be exempted from the above requirements
5- The presence of a Saudi partner of not less than 25%.
6- The share of the foreign partner is not less than (20,250,000) twenty million, two hundred and fifty thousand riyals, and the percentage of the foreign partnership does not exceed 75%.
- Requirements for a foreign trade license 100%:
- A copy of the commercial records of the establishment participating in (3) international markets, certified by the Saudi Embassy
2- A copy of the memorandum of association of the foreign company, attested by the Saudi embassy
3- A copy of the latest financial statements of the foreign company, certified by the Saudi embassy
4- The capital is not less than (30,000,000) thirty million riyals
